TERMS AND CONDITIONS

These Terms and Conditions (hereinafter referred to as the “Terms and Conditions”) apply to the TechCoop Connect app (hereby referred to as the “Application”) for mobile devices that was created by TECHCOOP INVESTMENT & TECHNOLOGY COOPERATION JOINT STOCK COMPANY (hereby referred to as the “TechCoop”) as a free service.

Upon downloading and utilizing the Application, you are automatically agreeing to all the content in this Terms and Conditions. It is strongly advised that you thoroughly read and understand these Terms and Conditions prior to using the Application.

1. Definitions

1.1. “TechCoop Group”:

TechCoop and its subsidiaries and affiliated companies within the same ecosystem as TechCoop.

1.2. “TechCoop Group Member”:

each entity individually in TechCoop Group.

1.3. “Supplier”:

partner(s) of TechCoop Group, duly established and lawfully operating within the territory of Vietnam and/or other countries, who have entered into agreements (including but not limited to Principles Contract and Sale and Purchase Contract) with TechCoop Group Members for the purpose of supplying products and/or services to such Members for resale or further provision to Customers.

1.4. “Legal Representative”:

the legal representative of Customer as registered with the competent state authority

1.5. “Designated Personnel”:

the personnel assigned to perform professional and operational tasks in the course of carrying out transactions with the TechCoop Group Member, as designated and authorized by the Legal Representative.

1.6. “We”, “Us”, or “Our”:

means TechCoop and/or any TechCoop Group Member, depending on the context.

1.7. “User” or “You”:

the entity using Application.

1.8. “TechCoop Account”:

the account provided by TechCoop to the Customer for logging into the Application, which allows the Customer to view information relating to transactions between the Customer and the TechCoop Group Member.

1.9. “Customer Purchase Transaction”:

a transaction for the purchase of goods between the TechCoop Group Member (as the Seller) and the Customer (as the Buyer).

1.10. “Outstanding”:

the amount of money that the Customer is obligated to pay to the TechCoop Group Member at any given time in connection with the performance of Customer Purchase Transactions.

1.11. “Debt Limit”:

the maximum total value of outstanding payables that the TechCoop Group Member permits the Customer to use for purchasing goods under deferred or installment payment arrangements.

1.12. “Transaction Limit”:

the maximum value of Customer Purchase Transactions that the Customer is permitted to carry out at a given time. The Transaction Limit shall be determined based on the Debt Limit and the Outstanding.

1.13. “Payment Notices and Instructions”:

payment requests, instructions, and reminders sent by the TechCoop Group Member to the Customer through communication channels including but not limited to email, written notices, telephone numbers, social media platforms such as Zalo, the Application, and other means.

2. Registration and Use of the TechCoop Account

2.1. The mobile phone number of the Legal Representative provided by the Customer to TechCoop Group Member (the “Registered Phone Number”) shall be linked to the TechCoop Account and used to authenticate the Customer’s actions on the Application. The Customer acknowledges and agrees that the Registered Phone Number shall have legal validity for the purpose of verifying that the person performing such actions is the Customer or a person duly authorized by the Customer. The Customer confirms and agrees to bear all risks associated with logging in, assigning tasks, and performing operations on the Application through the Registered Phone Number. The Customer irrevocably agrees to be fully responsible for all actions performed and/or authenticated through the Registered Phone Number.

2.2. Customer represents and warrants that all information provided by Customer is complete, truthful and accurate under any circumstances and allows TechCoop Group Member to check the provided information, documents with any other person or organization. Any changes in Customer’s information related to the Legal Representative, phone number and other information affecting the Outstanding repayment situation must be notified to TechCoop immediately by the Customer. The Customer hereby acknowledges and agrees that, in the event of any discrepancy between the Customer information shown on: (i) the Application Form to Use TechCoop’s Product and Services and/or any contract or agreement entered into with a TechCoop Group Member; and (ii) other documents provided by the Customer, the Application Form to Use TechCoop’s Product and Services and/or any contract or agreement entered into with a TechCoop Group Member still be in full effect. The information according to the national identity card and/or the citizen identity card of any individual provided by the Customer is correct and prevails. TechCoop is entitled to update/amend the information on the Application Form to Use TechCoop’s Product and Services and/or any contract or agreement entered into with a TechCoop Group Member and/or the Customer’s profile in accordance with the information on documents provided by the Customer.

2.3. Customers shall be responsible to protect and secure: username, password to log in TechCoop Accounts, other issued accounts on TechCoop’s systems (including but not limited to, whether on website and/or applications on mobile operating system platforms); one time password for transaction authentication (OTP password) sent by TechCoop to the Zalo account registered using the Customer’s Registered Phone Number; personal information; transaction information of Customers and the other information of similar nature that can be used to identify and authenticate Customers (hereinafter referred to as “Customer Confidential Information”).

2.4. Customers undertake to be responsible for damages and losses arising in the absence of protection and secure Customer Confidential Information.

2.5. Customer irrevocably undertake to bear all risks and pay all expenses incurred if Customer Confidential Information is stolen/lost/disclosed/taken advantage of (“Uncontrolled Incident”), within the time when the Uncontrolled Incident is detected until Customer notify the Uncontrolled Incident to TechCoop, unless it is determined to be due to TechCoop’s fault.

2.6. In case of change; suspension of use; or loss of ownership/possession of the Registered Phone Number and/or change the Legal Representative, the Customer shall immediately inform TechCoop. TechCoop is not liable in any manner for compensation of losses related to action made before Customer notifies TechCoop of any change; suspension of use; or loss of ownership/possession of the Registered Phone Number. Customer irrevocably undertakes to assume all risks and responsibility for actions which are performed and/or authenticated via the Registered Phone Number, until Customer notifies TechCoop of any change; suspension of use; or loss of ownership/possession of the Registered Phone Number.

3. Rights and responsibility of the Customer

3.1. The Customer has the right to request TechCoop adjust and update the information on the Application based on valid records and documents provided by the Customer.

3.2. Unauthorized copying, modification of the Application, any part of the Application, or our trademarks is strictly prohibited. Any attempts to extract the source code of the Application, translate the Application into other languages, or create derivative versions are not permitted. All trademarks, copyrights, database rights, and other intellectual property rights related to the Application remain the property of TechCoop.

3.3. The Application stores and processes personal data that you have provided to the TechCoop Group in accordance with the methods and purposes as specified in the Privacy Policy.

3.4. It is your responsibility to maintain the security of your phone and access to the Application. TechCoop strongly advises against jailbreaking or rooting your phone, which involves software restrictions and limitations imposed by the official operating system of your device. Such actions could expose your phone to malware, viruses, malicious programs, compromise your phone’s security features, and may result in the Application not functioning correctly or at all.

3.5. If you are using the application outside of a Wi-Fi area, please be aware that your mobile network provider’s agreement terms will still apply. Consequently, you may incur charges from your mobile provider for data usage during the connection to the application, or other third-party charges. By using the application, you accept responsibility for any such charges, including roaming data charges if you use the application outside of your home territory (i.e., region or country) without disabling data roaming. If you are not the bill payer for the device on which you are using the application, they assume that you have obtained permission from the bill payer.

3.6. The Customer shall be responsible for safeguarding and maintaining the confidentiality of the Customer Confidential Information and shall bear responsibility for any damages or losses arising from the failure to properly safeguard and maintain the confidentiality of such Customer Confidential Information.

3.7. The Customer agrees to be responsible for all damages incurred due to faults, negligence of Customer or due to Customer’s failure to comply with the Terms and Conditions, the contents of the Application Form to Use TechCoop’s Product and Services and/or any contract or agreement entered into with a TechCoop Group Member, other regulations, policies, notices that are or will be sent to Customers by the TechCoop Group from time to time.

4. Right and responsibility of TechCoop

4.1. Although TechCoop strives to ensure it is updated and accurate at all times, they do rely on third parties to provide information to them so that they can make it available to you. Therefore, TechCoop accepts no liability for any loss, direct or indirect, that you experience as a result of relying entirely on this functionality of the application.

4.2. TechCoop may wish to update the application at some point. The application is currently available as per the requirements for the operating system (and for any additional systems they decide to extend the availability of the application to) may change, and you will need to download the updates if you want to continue using the application. TechCoop does not guarantee that it will always update the application so that it is relevant to you and/or compatible with the particular operating system version installed on your device. However, you agree to always accept updates to the application when offered to you.

4.3. TechCoop is dedicated to ensuring that the Application is as beneficial and efficient as possible. As such, they reserve the right to modify the Application or charge for their services at any time and for any reason. TechCoop assures you that any charges for the Application or its services will be clearly communicated to you and in compliance with applicable laws and regulations.

4.4. TechCoop does not assume responsibility for certain aspects. Some functions of the Application require an active internet connection, which can be Wi-Fi or provided by your mobile network provider. TechCoop cannot be held responsible if the Application does not function at full capacity due to lack of access to Wi-Fi or if you have exhausted your data allowance.

4.5. TechCoop may also wish to cease providing the application and may terminate its use at any time without providing termination notice to you. Unless they inform you otherwise, upon any termination: (a) the rights and licenses granted to you in these terms will end; (b) you must cease using the application, and (if necessary) delete it from your device.

5. Changes to These Terms and Conditions

5.1. TechCoop may periodically update their Terms and Conditions. Therefore, you are TechCoop will notify you of any changes by posting the new Terms and Conditions in Application.

5.2. These Terms and Conditions are effective as of 10/12/2025.
